Terms of Service

Effective date: October 19, 2026

These Terms of Service ("Agreement") constitute a legally binding contract between you ("Client," "you," or "your") and Takeward ("Company," "we," "us," or "our"), governing your use of the content production services available at takeward.com ("Site"). By subscribing to any plan, completing the checkout process, or using our services, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety. If you do not agree to these Terms, do not subscribe or use our services.

1. Description of Services

Takeward provides done-for-you faceless YouTube channel content production services on a monthly subscription basis, for the English-speaking market. Depending on the plan selected, services may include video scripting, AI-generated voiceover, full cinematic video editing, thumbnail design, SEO-optimized metadata (title, tags, and description), YouTube Shorts production, and channel branding. On select plans, services also include a Weekly Strategy Session: a 15-minute video call with the Takeward team, booked through our scheduling platform. Complete descriptions of each plan and its deliverables are available on the pricing page at takeward.com.

All content is produced using AI-assisted tools across script, voice, visuals, and editing. Takeward does not provide access to, manage, or operate the Client's YouTube channel at any time. The Client retains sole control over their YouTube account.

2. Subscription Plans and Pricing

Takeward offers two categories of monthly subscription plans:

Long-form + Shorts: Starter at $44/mo (5 long-form videos, 26 Shorts, 10 thumbnails, up to 15 min/video); Creator at $72/mo (8 long-form videos, 26 Shorts, 24 thumbnails, up to 15 min/video); Growth at $99/mo (12 long-form videos, 30 Shorts, 36 thumbnails, up to 15 min/video); Pro at $229/mo (20 long-form videos, 30 Shorts, 60 thumbnails, up to 15 min/video).
Long-form only: Starter at $62/mo (2 videos, 2 thumbnails, up to 35 min runtime/video); Growth at $124/mo (5 videos, 5 thumbnails, up to 35 min runtime/video); Pro at $249/mo (9 videos, 9 thumbnails, up to 35 min runtime/video).

All plans include script writing, AI voiceover, full cinematic editing, title, tags, and description, and channel branding. Full SEO pack is included on Long-form only plans. On the first 3 minutes of every video under Long-form + Shorts plans, Takeward includes animated production at no additional charge. All prices are in United States dollars. Prices shown reflect October 2026 launch pricing; clients who subscribe during that period keep those exact prices for as long as their subscription remains active, regardless of any later price changes. Takeward reserves the right to modify pricing at any time for new subscribers. Existing subscribers on a non-locked rate will receive no fewer than thirty (30) days' written notice via email before any price change takes effect on their account.

3. Billing, Payments, and Auto-Renewal

All subscriptions are billed on a recurring monthly basis through Stripe. Your billing cycle begins on the date of your first successful payment. Subsequent charges are processed automatically on the same date each month until you cancel.

AUTO-RENEWAL DISCLOSURE: By subscribing, you expressly acknowledge and agree that your subscription will automatically renew at the end of each monthly billing cycle at the then-current rate for your plan, and that Stripe will charge your designated payment method accordingly, unless you cancel before the renewal date. This is a recurring charge.

If a payment fails, Takeward may suspend your account and pause production until the outstanding balance is resolved. Takeward is not responsible for any fees, overdraft charges, or penalties imposed by your bank or payment provider as a result of authorized recurring charges.

4. Cancellation

You may cancel your subscription at any time by contacting support@clients.takeward.com or through your Stripe billing portal. Cancellation takes effect at the end of your current billing cycle. You will continue to receive all deliverables currently in production for that cycle. No further charges will be processed after the cancellation effective date. Takeward does not issue partial refunds, prorated credits, or any other form of reimbursement for unused portions of a billing period.

5. Onboarding

Upon your first payment, you will receive a confirmation email and a link to your onboarding questionnaire. Production cannot begin until the onboarding questionnaire is completed in full. Delays in completing the onboarding questionnaire may result in delayed delivery of your content for that billing cycle.

If you do not have an existing YouTube channel, your content niche is determined directly from your responses on the onboarding questionnaire (whether you select a preset niche or describe a custom one). Takeward will then assist with channel naming and positioning guidance based on that niche. Takeward does not provide visual identity assets (logo, banner, or similar) as part of channel setup. You are solely responsible for creating your YouTube account and channel. Takeward does not create, access, manage, or control Client YouTube channels at any time.

The Client must provide visual style references during onboarding to guide the visual direction of their videos.

6. Production Workflow and Delivery

All deliverables are produced and delivered exclusively through the Takeward client portal ("Portal"), accessible once onboarding is complete. Scripts are produced internally as part of the production process but are not delivered to the Client and are not a standalone deliverable. Narration voice is determined from the Client's onboarding responses. Once a project enters production, Takeward proceeds directly to full production of the final video, thumbnail(s), and SEO metadata (title, tags, and description) without an intermediate script or draft approval stage.

For plans that include YouTube Shorts, Shorts are produced and delivered through the Portal as part of the same monthly batch.

Estimated delivery time for a complete monthly batch is seven (7) to ten (10) business days from the date the onboarding questionnaire is completed. Delivery timelines are estimates and are not guaranteed. Takeward will make commercially reasonable efforts to meet stated timelines. Delays resulting from late or incomplete Client input, holidays, or events beyond Takeward's reasonable control do not constitute a breach of this Agreement and do not entitle the Client to any refund, credit, or compensation.

7. Revisions

Videos go directly to production upon receipt of the completed onboarding questionnaire; no revision rounds are included by default with any plan. Revisions are available as paid add-ons:

Script Revisions add-on: allows the Client to review and approve scripts before final production begins.

Final Delivery Revision add-on: provides one round of revisions on completed, delivered videos.

Pricing and purchase of these add-ons are available through the Portal or by contacting support@clients.takeward.com. Fees paid for revision add-ons are non-refundable. Thumbnails, SEO metadata, and delivered Shorts are not eligible for revisions under any add-on.

8. Weekly Strategy Sessions

Plans that include this feature provide one 15-minute video call per week with the Takeward team for the duration of the active billing cycle, bookable through our scheduling platform. This feature is only available to Clients on a plan that includes it, as specified on the pricing page at takeward.com; it is not included by default with every subscription. Availability of a given time slot is not guaranteed, and unused sessions do not carry over to a future billing cycle or entitle the Client to any credit or compensation.

9. Intellectual Property and Ownership

Upon delivery through the Portal and receipt of full payment for the applicable billing cycle, all rights, title, and interest in the content produced under the Client's subscription — including videos, thumbnails, and metadata — transfer to and vest in the Client. Scripts produced internally during the production process are not delivered to the Client and remain Takeward's property. Until full payment is received and confirmed, Takeward retains all rights to the content.

Portfolio License: The Client grants Takeward a non-exclusive, perpetual, royalty-free, worldwide license to use, display, reproduce, and distribute any content produced under this Agreement for Takeward's own marketing, advertising, promotional, and portfolio purposes, including but not limited to display on the Takeward website, social media accounts, advertising campaigns, and case studies. This license survives termination or cancellation of the Client's subscription.

10. Client Responsibilities

The Client is responsible for: completing the onboarding questionnaire accurately and promptly, including providing visual style references; maintaining and controlling their own YouTube channel, including uploading content; purchasing any revision add-ons needed before the relevant production stage is complete, since no revisions are included by default; ensuring that any materials, references, or direction provided to Takeward do not infringe on any third-party intellectual property rights; and complying with YouTube's Terms of Service and Community Guidelines.

11. Acceptable Use

You agree not to use the services or content produced by Takeward for any purpose that is unlawful, fraudulent, defamatory, obscene, or otherwise objectionable. You agree not to resell, redistribute, sublicense, or white-label the services provided under this Agreement to third parties without Takeward's prior written consent. Violation of this section may result in immediate account termination without refund.

12. Eligibility

The services offered by Takeward are available exclusively to individuals who are at least eighteen (18) years of age. By subscribing to any plan, you represent and warrant that you are at least eighteen (18) years old and have the legal capacity to enter into this Agreement. If Takeward discovers or has reasonable grounds to believe that a Client is under eighteen (18) years of age, Takeward reserves the right to immediately terminate the account without refund.

13. No Guarantee of Results

Takeward does not guarantee, represent, or warrant any specific outcomes, including but not limited to video views, watch time, subscriber growth, YouTube monetization status, ad revenue, RPM, or any other performance metric. Content production is the sole scope of our services. Channel performance is influenced by numerous factors outside Takeward's control, including but not limited to YouTube's algorithm, niche competitiveness, upload frequency, audience behavior, and the Client's own channel management.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. TAKEWARD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR THAT ANY CONTENT PRODUCED WILL ACHIEVE ANY PARTICULAR RESULT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAKEWARD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO TAKEWARD DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL TAKEWARD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE LOSSES, EVEN IF TAKEWARD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Indemnification

The Client agrees to indemnify, defend, and hold harmless Takeward and its owners, officers, employees, agents, and contractors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the Client's use of the services or content provided under this Agreement; (b) the Client's breach of any term of this Agreement; (c) any materials, information, or direction provided by the Client that infringe upon, misappropriate, or violate any third party's intellectual property, privacy, or other rights; (d) the Client's violation of any applicable law, regulation, or YouTube's Terms of Service; or (e) any third-party claim arising from content uploaded to the Client's YouTube channel. This indemnification obligation survives termination of this Agreement.

17. Force Majeure

Takeward shall not be liable for any delay or failure to perform its obligations under this Agreement to the extent that such delay or failure is caused by circumstances beyond Takeward's reasonable control, including but not limited to natural disasters, pandemics, government actions or restrictions, internet or infrastructure outages, labor disputes, power failures, acts of war or terrorism, cyberattacks, or disruptions to third-party services upon which Takeward relies (including AI tools, voiceover platforms, scheduling platforms, and hosting providers). In such events, delivery timelines shall be extended by a period equal to the duration of the force majeure event.

18. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles.

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days following written notice of the dispute. If the dispute is not resolved through negotiation, it shall be submitted to binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator in the English language. The seat of arbitration shall be Wilmington, Delaware. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

Each party shall bear its own costs and attorneys' fees in connection with any arbitration, unless the arbitrator determines that the circumstances warrant a different allocation.

THE CLIENT WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS ARBITRATION, OR ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. ANY ARBITRATION OR PROCEEDING UNDER THIS AGREEMENT SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY.

19. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

20. Entire Agreement

This Agreement, together with the Refund Policy, Privacy Policy, and any plan descriptions published on the Site, constitutes the entire agreement between the Client and Takeward with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

21. Modifications to This Agreement

Takeward reserves the right to modify this Agreement at any time. The most current version will be posted on the Site with an updated effective date. Continued use of the services after any modifications are posted constitutes the Client's acceptance of the revised Agreement. For material changes, Takeward will make reasonable efforts to notify active subscribers via email.
